1. About UrbanHelper
UrbanHelper (“UrbanHelper”, “we”, “us”) is an online marketplace operated by Taidin that connects customers (“Customers”) who need local services with independent service providers (“Helpers”) who offer them. UrbanHelper is a technology platform — we are not the provider of the services performed by Helpers, do not employ Helpers, and are not a party to the agreement for services formed between a Customer and a Helper.
2. Acceptance of these Terms
By creating an account, accessing, or using UrbanHelper (the “Services”), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the Services.
3. Eligibility
You must be at least 18 years old and able to form a binding contract. By using the Services you represent that the information you provide is accurate and that you will keep it up to date.
4. Accounts
You are responsible for activity under your account and for keeping your login credentials secure. A single account may act as both a Customer and a Helper. You must promptly notify us of any unauthorized use.
5. The marketplace
Customers may request services through the app. UrbanHelper facilitates matching, scheduling, communication, and payment. Helpers are independent contractors who decide whether to accept any request. We do not guarantee that any request will be accepted or that any particular Helper will be available.
6. Pricing & payments
Prices are shown in the app before booking. Payments are processed by our third-party payment provider (Stripe). When you book, your payment method may be authorized or charged, and funds are released to the Helper upon completion, less applicable platform fees. Helper payouts are handled through the payment provider. Applicable taxes (including HST) are added where required. You authorize us and our payment provider to charge your selected payment method for amounts due.
7. Cancellations & refunds
You may cancel a booking subject to our cancellation policy shown in the app. Cancellations made after a defined cutoff may incur a fee to compensate the Helper for reserved time. Refunds, where applicable, are issued to your original payment method. Disputes about a completed job may be submitted through the app within the stated window.
8. Helper terms
Helpers must complete identity verification and meet any service- and region-specific requirements before becoming eligible for work. Helpers are independent contractors and are solely responsible for the manner, means, and quality of the services they provide, for their tools and supplies, and for their own taxes, licenses, and insurance. Helpers agree to perform services professionally, lawfully, and as described.
9. Acceptable use
You agree not to: violate any law; misrepresent your identity or eligibility; harass, discriminate against, or endanger others; circumvent the platform to avoid fees; submit false reviews; interfere with the Services; or use the Services for any unlawful or unauthorized purpose.
10. Ratings & content
You may submit ratings, reviews, photos, and other content. You are responsible for your content and grant UrbanHelper a non-exclusive, worldwide, royalty-free licence to use it to operate and promote the Services. We may remove content that violates these Terms.
11. Disclaimers & limitation of liability
The Services are provided “as is” without warranties of any kind. UrbanHelper does not warrant the quality, safety, or legality of services provided by Helpers, the accuracy of listings, or the conduct of any user. To the fullest extent permitted by law, UrbanHelper and its affiliates will not be liable for any indirect, incidental, special, or consequential damages, or for the acts or omissions of any Customer or Helper. Our total liability for any claim is limited to the amount of fees you paid to UrbanHelper in the three months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless UrbanHelper, Taidin, and their affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services, your content, or your breach of these Terms.
13. Intellectual property
UrbanHelper, its logos, software, and content are owned by Taidin and protected by intellectual-property laws. You may not copy, modify, or distribute them without our prior written consent.
14. Termination
We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or to protect the Services and our users. You may stop using the Services at any time.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date, and material changes may be communicated in-app or by email. Continued use after changes take effect constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada.
